These Terms and Conditions apply to the use of https://www.suntree-foods.com and to all offers, quotations, order confirmations, agreements, and related communications issued by Suntree Foods B.V., unless expressly agreed otherwise in writing by Suntree Foods B.V.

2. Scope and business customers

Suntree Foods B.V. operates under Dutch law and primarily conducts business on a business to business basis.

3. Applicability, incorporation of NZV Conditions, and rejection of other terms

3.1 All offers, confirmations, and requests are subject to final seller confirmation and are governed exclusively by the Conditions and Arbitration Rules of the Netherlands Association for the Trade in Dried Fruit, Spices and Allied Products (the “NZV Conditions”), which are incorporated by reference into each contract and transaction.

3.2 Any general (purchase or sales) conditions referred to by you are hereby explicitly rejected. This rejection applies in particular to terms printed on, attached to, or referenced in purchase orders, procurement portals, emails, or other buyer documentation, even if Suntree Foods proceeds with performance, unless Suntree Foods has expressly accepted such terms in writing.

3.3 The NZV Conditions have been filed at the Chamber of Commerce under number 40341013.

4. Availability of NZV Conditions and arbitration regulations

The applicable NZV Conditions and arbitration regulations are available at:

If the NZV Conditions are updated, the version applicable is the version declared applicable to the relevant transaction, and in practice this should be the version referenced or provided with the order confirmation.

5. Contract formation and final seller confirmation

5.1 Quotations and offers issued by Suntree Foods are non binding unless explicitly stated otherwise.
5.2 A binding contract is formed only when Suntree Foods issues a written order confirmation (or otherwise confirms acceptance in writing).
5.3 If any conflict exists between these website Terms and the NZV Conditions on matters governed by the NZV Conditions, the NZV Conditions prevail.

6. Dispute resolution and arbitration (NZV)

Any dispute arising out of or in connection with the contract and or transactions governed by the NZV Conditions shall be finally settled under the Rules of Arbitration of the Netherlands Association for the trade in dried fruits, spices and allied products (NZV) by one or more arbitrators appointed in accordance with the said Rules.

7. Fraud and Banking Disclaimer

We do not notify changes to our bank account details by email. Any communication purporting to request or confirm a change of bank details should be treated as fraudulent and disregarded. In case of doubt, please contact us using our established and verified contact details.

8. Website use and intellectual property

8.1 All website content, including text, images, logos, product information, and downloadable materials, is owned by or licensed to Suntree Foods and is protected by intellectual property rights.
8.2 You may view and print content for internal business purposes only. Any other use requires prior written permission from Suntree Foods.

9. Website disclaimers and liability (website only)

9.1 We strive to keep the website accurate and available, but we do not guarantee that the website is uninterrupted, complete, or error free.

9.3 Commercial supply terms, product claims, delivery, quality, and related liabilities are governed by the NZV Conditions for transactions made on those conditions.

10. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be replaced by a valid provision that most closely reflects the original intent.

11. Changes

We may update these Terms and Conditions by publishing an updated version on our website.
